1. Acceptance of Terms
These Terms & Conditions ("Terms") constitute a legally binding agreement between you (individually or on behalf of your organisation, "Licensee", "you") and Chestnut Compute Corp ("Chestnut Compute", "we", "us", or "our"), a corporation registered in Ontario, Canada, operating the Kola CRM product line.
Your purchase, download, installation, or use of Kola CRM constitutes your acceptance of these Terms. If you do not agree, do not purchase or use the software.
2. About Kola CRM
Kola CRM is a business-to-business (B2B) customer relationship management application sold by Chestnut Compute Corp as a one-time purchase perpetual software license. The product is a wholly owned offering of Chestnut Compute Corp.
The software is delivered as a self-contained HTML application file. Depending on the license tier purchased, the application runs locally in the customer's browser (Starter) or on customer-controlled hosting infrastructure (Professional and Business).
3. License Grant
Subject to your compliance with these Terms and payment of the applicable one-time license fee, Chestnut Compute grants you a non-exclusive, non-transferable, perpetual license to:
- Install and use the Kola CRM application for your internal business purposes
- Use the application for the number of users and on the infrastructure permitted by your purchased tier
- Receive minor updates and bug fixes released within the same major version at no additional cost
This license is for internal business use only. You may not use Kola CRM to provide CRM-as-a-service to third parties without a separate written agreement with Chestnut Compute.
4. License Tiers & Seat Limits

"Users" means human individuals actively using the application. A single license covers one organisation and one production deployment. Separate licenses are required for separate organisations or separate legal entities.
Exceeding the permitted seat count for your tier without upgrading is a material breach of this agreement.
5. License Restrictions
Except as expressly permitted in these Terms, you may not:
- Redistribute or resell the software, license keys, or any derivative thereof
- Sub-license the software to any third party
- Transfer your license to another individual or entity without Chestnut Compute's prior written consent
- Reverse engineer, decompile, or disassemble the software or attempt to derive its source code
- Remove or alter any proprietary notices, watermarks, or license validation code embedded in the software
- Share, publish, or distribute your license key
- Use a single license across multiple organisations or for commercial hosting/SaaS purposes
- Circumvent or disable any copy-protection, domain-locking, or license validation mechanism
6. License Validation (Phone-Home)
Kola CRM performs an automatic license check each time the application loads. By using the software, you acknowledge and agree that:
- The application will make a network request to Chestnut Compute's license validation service upon each load
- This request transmits your license key (hashed), the hostname where the application is running (Professional and Business tiers), and the requesting IP address
- If the validation service is unreachable, the application will enter a grace period and continue to function; prolonged inability to validate may result in limited functionality
- Chestnut Compute may use validation data to detect and act on misuse, including key revocation
The license validation service is described as "license verification" in the application interface. Validation data is used solely for license management and is never used for marketing or sold to third parties. See our Privacy Policy for full details.
7. Copy Protection & Watermarking
Each delivered copy of Kola CRM is individually watermarked with the purchaser's email address at the time of delivery. This watermark is embedded in the application file and serves as identification of the licensed recipient.
Professional and Business tier licenses are domain-locked: the application will only fully function on the specific hostname registered at time of license activation. Attempting to operate a domain-locked license on an unauthorised domain constitutes a breach of these Terms.
If you need to change your registered domain (e.g., due to a rebrand), contact support@kolacrm.com to request a domain transfer, which Chestnut Compute will accommodate at its reasonable discretion.
8. Customer-Hosted Data & Infrastructure
8.1 Starter Tier
Data is stored in your browser's localStorage. You are solely responsible for backing up your data. Clearing your browser data or switching devices will result in data loss. Chestnut Compute accepts no liability for data loss under the Starter tier.
8.2 Professional & Business Tiers
You are responsible for provisioning, securing, and maintaining the server infrastructure on which Kola CRM is hosted. Chestnut Compute may provide setup documentation as a courtesy; this does not constitute managed hosting services or technical support for your infrastructure.
You are solely responsible for:
- Server security, access controls, and firewall configuration
- Data backup and disaster recovery
- Compliance with applicable data protection laws governing your use of the CRM data you store
- Costs associated with your chosen hosting provider
9. AI Features — Bring Your Own Key (BYOK)
Kola CRM includes an AI-powered assistant feature ("Ask Kola") that requires you to supply your own API key from a supported AI provider (currently Anthropic and OpenAI). By using this feature:
- You acknowledge that your use of the AI provider's services is governed by that provider's own terms of service and privacy policy
- You are solely responsible for obtaining and maintaining your API key and for all costs incurred through your API key
- Your API key is stored in your browser's localStorage and is never transmitted to Chestnut Compute's servers
- Chestnut Compute makes no representations about the accuracy, reliability, or fitness for purpose of AI-generated responses
- AI-generated content is provided for informational purposes only and does not constitute legal, financial, or professional advice
10. Cloud Backup Add-On
The optional Chestnut Cloud Backup service is available for an additional annual fee ($49/year at time of publication, subject to change with reasonable notice). This add-on is a separate, recurring subscription and is the only recurring charge associated with Kola CRM.
10.1 Service Description
Cloud Backup stores encrypted snapshots of your CRM data at Chestnut Compute's secure off-site infrastructure. Encryption and decryption occur on your device; Chestnut Compute cannot access the contents of your backups.
10.2 Subscription & Cancellation
- The Cloud Backup subscription renews annually unless cancelled
- You may cancel at any time; backup coverage will continue until the end of the current paid period
- Upon cancellation, encrypted backup data is retained for 30 days and then permanently deleted
- You may export your backup data at any time regardless of subscription status
- Cancelling Cloud Backup does not affect your CRM application license, which remains perpetual
10.3 Service Level
Chestnut Compute will use commercially reasonable efforts to maintain Cloud Backup availability. However, the Cloud Backup service is provided without a formal uptime SLA. Chestnut Compute's liability in the event of Cloud Backup service failure is limited as described in Section 16.
11. Payment & Pricing
License fees are payable in full at the time of purchase through our authorised payment processor. All prices are displayed inclusive of applicable currency but exclusive of any taxes (GST/HST or equivalent) that may apply in your jurisdiction. You are responsible for any applicable taxes.
Prices are subject to change. The price applicable to your purchase is the price displayed at the time you complete your transaction. Price changes do not affect licenses already purchased.
Major version upgrades (e.g., v1 → v2) may require a separate upgrade purchase, which will be offered to existing licensees at a discounted rate. Minor version updates within your purchased major version are always free.
12. Refund Policy
Given the nature of software delivery, we offer a 30-day money-back guarantee on all one-time license purchases. If you are not satisfied with Kola CRM for any reason, contact us within 30 days of your purchase date and we will issue a full refund. No questions asked.
To request a refund: support@kolacrm.com with your order number and email address.
Following a refund, your license key will be revoked and you must cease all use of the software and delete all copies in your possession.
The Cloud Backup add-on is refundable within 14 days of the initial subscription purchase or annual renewal date.
Refunds are not available for purchases made through third-party marketplaces (e.g., AppSumo); those purchases are subject to the marketplace's own refund policy.
13. Intellectual Property
Kola CRM, including all code, design, branding, documentation, and related materials, is the exclusive property of Chestnut Compute Corp and is protected by Canadian copyright law, international copyright treaties, and other applicable intellectual property laws.
These Terms grant you a license to use the software — not ownership of the software itself. Nothing in these Terms transfers any intellectual property rights to you.
The Kola CRM name, the Chestnut Compute name, the chestnut (🌰) logo mark, and associated trade dress are trademarks of Chestnut Compute Corp. You may not use these marks without prior written permission.
14. Acceptable Use
You agree to use Kola CRM only for lawful business purposes. You must not use the software to:
- Store or process data in violation of applicable privacy laws (including PIPEDA, GDPR, or CCPA)
- Engage in any unlawful, fraudulent, or deceptive business practices
- Transmit unsolicited commercial communications (spam) in violation of Canada's Anti-Spam Legislation (CASL) or equivalent laws
- Infringe upon the intellectual property or privacy rights of any third party
- Attempt to circumvent any technical protection measures in the software
You are solely responsible for ensuring that your use of the software, and any data you store within it, complies with all applicable laws in your jurisdiction.
15. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CHESTNUT COMPUTE CORP EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WARRANTIES THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR OPERATE WITHOUT INTERRUPTION OR ERROR
- WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF AI-GENERATED CONTENT
- WARRANTIES THAT THE SOFTWARE IS FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS (THOUGH WE TAKE COMMERCIALLY REASONABLE PRECAUTIONS)
Some jurisdictions do not allow the exclusion of implied warranties. To the extent that applicable law does not permit the exclusion of a particular warranty, such warranty is limited in duration to the shortest period permitted by law.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHESTNUT COMPUTE CORP, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
- LOSS OF, CORRUPTION OF, OR INABILITY TO RECOVER DATA (INCLUDING CRM DATA STORED ON YOUR OWN INFRASTRUCTURE)
- COSTS OF PROCURING SUBSTITUTE GOODS OR SERVICES
WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF CHESTNUT COMPUTE CORP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Aggregate liability cap: In all cases, Chestnut Compute Corp's total cumulative liability to you for any claims arising under or related to these Terms shall not exceed the total amount you paid to Chestnut Compute Corp in the twelve (12) months preceding the event giving rise to the claim.
The foregoing limitations reflect a fair allocation of risk between the parties and are a fundamental element of the basis of the bargain between us. Some jurisdictions do not allow limitations on implied warranties or exclusion of certain types of damages; to the extent such laws apply, some of the above limitations may not apply to you.
17. Indemnification
You agree to defend, indemnify, and hold harmless Chestnut Compute Corp and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:
- Your breach of these Terms
- Your use of the software in violation of applicable law
- Data you store or process using Kola CRM
- Your violation of any third party's intellectual property or privacy rights
18. License Revocation & Termination
Your license is perpetual provided you comply with these Terms. Chestnut Compute reserves the right to revoke your license key if:
- You materially breach these Terms and fail to cure the breach within 14 days of written notice
- Your license key is found to be in use on more domains or by more users than your tier permits
- Your license key is found to have been shared publicly or distributed to third parties
- You have obtained a refund (immediate revocation)
- You use the software for illegal purposes
Upon revocation or termination of your license, you must immediately cease all use of the software and delete all copies in your possession. Revocation does not entitle you to a refund unless the revocation was in error, in which case Chestnut Compute will promptly restore your license or issue a full refund at your election.
19. Updates & Future Versions
Chestnut Compute will use commercially reasonable efforts to provide bug fixes and minor updates within your purchased major version at no additional charge. We do not guarantee any specific update schedule or feature roadmap.
Major version releases (if and when released) will be separate products. Existing licensees will be offered an upgrade at a discounted price. There is no obligation to upgrade; your existing licensed version will continue to function.
Chestnut Compute reserves the right to discontinue the product with reasonable advance notice. In the event of discontinuation, your existing license remains valid and you retain your copy of the software.
20. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days of written notice, it shall be submitted to binding arbitration in accordance with the Arbitration Act, 1991 (Ontario). The seat of arbitration shall be Toronto, Ontario. The language of arbitration shall be English.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from a court of competent jurisdiction in Toronto, Ontario to prevent irreparable harm pending arbitration.
If you are a consumer (purchasing for personal, non-commercial use), you may have additional rights under applicable consumer protection legislation that cannot be varied by agreement.
21. Changes to These Terms
Chestnut Compute reserves the right to update these Terms at any time. We will notify existing licensees of material changes by email (to the address on file at purchase) at least 30 days before the changes take effect. Your continued use of the software after the effective date of revised Terms constitutes your acceptance of the updated Terms.
If you do not agree to the revised Terms, you may request a pro-rated refund (where applicable) or cease use of the software. Minor updates, bug fixes, and changes required by law may be effective immediately.

23. Vendor Viability & Data Portability
Chestnut Compute understands that purchasing software requires confidence in vendor continuity. This section sets out our commitments regarding your data and your continued ability to use the software regardless of Chestnut Compute's operational status.
23.1 Your Software Is Yours
Kola CRM is delivered as a file you possess — a self-contained HTML application stored on your own device or server. Unlike SaaS products that are hosted on vendor infrastructure, Kola CRM does not stop functioning because Chestnut Compute experiences financial difficulty, ceases operations, or is acquired. The licensed application file continues to operate in your environment independently of Chestnut Compute's operational status.
23.2 Perpetual Data Export Guarantee
Chestnut Compute guarantees, irrevocably, that:
- The data export function (CSV export of all contacts, deals, and activities) is a permanent feature of all license tiers and will never be removed, restricted, or gated behind a subscription
- Your data export rights survive any termination, expiry, or revocation of your license, any change in Chestnut Compute's ownership or operational status, and any future version changes to the software
- If Chestnut Compute ceases operations, your license to use the existing version of the software you possess continues in perpetuity under the terms granted at the time of purchase
23.3 License Validation Upon Vendor Cessation
In the event that Chestnut Compute's license validation infrastructure (the phone-home service described in Section 6) becomes permanently unavailable due to cessation of business operations:
- The application is designed to fail open — it will continue to operate without interruption if the validation endpoint cannot be reached
- No validation failure will ever prevent you from accessing or exporting your data
- Chestnut Compute will publish a "vendor cessation key" (a static bypass key) on a publicly accessible GitHub repository in the event of planned wind-down, allowing continued operation without the validation service
23.4 Cloud Backup Continuity
If Chestnut Compute ceases operations while you have an active Cloud Backup subscription, you will receive a minimum of 90 days' advance notice (where operationally possible), a full export of all your backed-up data delivered to your registered email address, and a pro-rated refund of any prepaid Cloud Backup fees for the unused subscription period.
24. Customer Support
Chestnut Compute provides customer support as described in the tier matrix below. Support is provided in English only. Response times are business-day targets; Chestnut Compute will use commercially reasonable efforts to meet them but they do not constitute a binding SLA.
